Uppercut reserves the right, in its sole discretion, to modify, alter or otherwise update these Terms of Use at any time and you agree to be bound by such modifications, alterations or updates.

  1. COPYRIGHTS, TRADEMARKS AND RESTRICTIONS

All material on this site, including, but not limited to images, illustrations, audio clips and video clips, is protected by intellectual property laws and are owned and controlled by Uppercut or by other parties that have licensed their material to Uppercut. All rights not expressly granted are reserved.   1. SUBMISSIONS

Any notes, message/billboard postings, ideas, suggestions, concepts or other material submitted will be received by Uppercut on a non-confidential basis and become the property of Uppercut throughout the universe and Uppercut shall be entitled to use the material for any type of use forever including in any media whether now known or hereafter devised. You are not entitled to any accounting, compensation or reimbursement of any kind from Uppercut under any circumstances.

  1. GOVERNING LAW and JURISDICTION

These Terms of Service constitute a contract made under and shall be governed by and construed in accordance with the Province of Alberta, excluding any choice or conflict of law provision (whether of Alberta, Canada or any other jurisdiction) that would permit or cause the application of the laws of any other jurisdiction. The parties hereto irrevocably attorn to the exclusive jurisdiction of the courts of the Province of Alberta.

  1. SEVERABILITY

In the event that any provision of these Terms and Conditions is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms and Conditions, such determination shall not affect the validity and enforceability of any other remaining provisions.

This is the entire agreement between the parties relating to the matters contained herein and shall not be modified except by Uppercut.
